Protecting Intellectual Property
An employee is under an implied duty not to misuse or disclose confidential information while they remain your employee. There are also statutory rules governing the ownership of intellectual property (IP), which usually belongs to the employer if created in the course of employment.
However, you will usually want to contractually agree additional protection for the business, for example post-termination restrictions; an agreed definition of confidential information; an obligation to disclose any IP created; and a process for registering and securing IP rights.
