Employment status and LLPs (English High Court judgment) - Reinhard v Ondra LLP [ChD] 30.06.15 (Unreported)

Where a limited liability partnership had engaged a person in 2009 on terms purporting to make him both a member and an employee of the LLP, the parties were not to be taken to have appreciated that the Limited Liability Partnerships Act 2000 s.4(4) prevented an LLP member also being an employee; that had only been clarified in 2014. To determine whether the contract had made the person a member or an employee, the court had to construe the contract giving it the commercial effect which came closest to reflecting all its provisions.
